Access Bank Botswana Paid Directors P4.1 Million In 2025: Who Earned What

 

Access Bank Botswana paid P4.124 million in directors’ fees in 2025, with the bulk of the remuneration going to its independent non-executive directors, according to the bank’s 2025 Integrated Report.

The bank’s remuneration disclosure shows that eight directors received fees during the year, while four other board members recorded no separate directors’ fees in the disclosure. The bank said independent non-executive directors receive shareholder-approved fees and do not participate in incentive or performance-based remuneration arrangements.

The board held eight meetings during 2025, including three special meetings. Here is a closer look at the directors, their backgrounds, responsibilities and what they were paid.

Boiki Tema — P684,750

Boiki Matema Wabo Tema became Access Bank Botswana’s chairperson on 1 February 2025, following the departure of Lorato Mosetlhanyane at the end of January.

He holds an MBA from the University of Botswana and a Bachelor of Arts in Politics and Administration from the same institution. He is also a professional member of the Institute of Coaching Federation.

Tema chaired the Board Governance, Nomination and Remuneration Committee and served on the Risk Management and Compliance Committee.

He attended all eight board meetings and received P684,750, making up roughly 16.6% of the total directors’ fees disclosed for the year.

Lynda Mataka — P671,000

Lynda Mataka received P671,000 in 2025.

She holds an MSc in Strategic Management from the University of Derby, a BA in Economics from the University of Botswana, a Diploma in Financial Management and a Diploma in Banking from the Botswana Institute of Bankers. She also completed the Senior Management Development Programme at the University of Pretoria.

Mataka serves on the Credit and Finance Committee and the Governance, Nomination and Remuneration Committee.

She attended all eight board meetings during the year, with the report recording her participation in the relevant committee meetings as well. Her fees represented approximately 16.3% of the total paid to directors.

Ntoti Mosetlhe — P638,000

Ntoti Mosetlhe was one of the longest-serving directors on the board, having been appointed in November 2018.

She was appointed Lead Independent Director during the year. The bank said the role provides independent leadership where required, serves as an additional point of contact for directors and stakeholders and supports objective decision-making.

Mosetlhe received P638,000 in directors’ fees and attended all eight board meetings. She also chaired the Board Governance, Nomination and Remuneration Committee, which oversees matters including human capital strategy, remuneration, leadership governance and succession planning.

Her qualifications include an MBA from the University of Botswana, a Bachelor of Arts in Politics and Administration, and professional membership of the Institute of Coaching Federation.

Calistas Chijoro — P593,500

He holds a BA in Social Sciences, majoring in Accounting and Economics, from the University of Botswana, as well as a Diploma in Banking, an ACI Dealing Certificate and a Certified Retail Banker qualification from the Retail Banking Academy in the UK.

He also completed the Standard Bank Group Retail Executive Programme.

Chijoro served on the Digital and Information Technology Committee and the Risk Management and Compliance Committee. He attended all eight main board meetings during the year.

The bank appointed him to the board in February 2024.

Ogone Mothooagae — P544,500

His academic background combines accounting, economics and banking. He holds a BA in Social Sciences in Accounting and Economics from the University of Botswana, a Diploma in Banking, an ACI Dealing Certificate and a Certified Retail Banker qualification.

Mothooagae also completed the Standard Bank Group Retail Executive Programme.

He chaired the Risk Management and Compliance Committee and served on the Digital and Information Technology Committee.

The report records his appointment as an independent non-executive director on 3 January 2024. He attended all eight board meetings during 2025.

John Sebabi — P456,500

His background is primarily in law. He holds an LLM in International Business Law from the University of Manchester, an LLB from the University of Zambia and qualifications in legislative drafting and legal practice from the Zambia Institute of Advanced Legal Education.

Sebabi, who joined the board in June 2020, chaired the Credit and Finance Committee and also served on the Governance, Nomination and Remuneration Committee.

Davis Tele — P425,750

Davis Tele was the newest director to receive a full-year-related fee in the 2025 disclosure, having been appointed on 7 April 2025.

He holds an MSc in Transport Economics from Cranfield Institute of Technology in the UK and a BCom in Accounting and Finance from the University of Botswana.

Tele serves as Chairperson of the Audit Committee. The bank's governance report describes him as a professional accountant with more than 15 years' experience and says his appointment brought additional accounting expertise to the board.

Lorato Nthando Mosetlhanyane — P110,000

Lorato Mosetlhanyane received P110,000, but her payment reflects only part of the year because she resigned on 31 January 2025.

She had served as the bank's chairperson before Boiki Matema Wabo Tema took over in February.

The report records that Mosetlhanyane attended one of the eight board meetings and received P110,000 in directors' fees. Her departure, together with that of Joshua Benjamin Galeforolwe, marked the end of their board tenures in January 2025.

The Directors Who Received No Separate Board Fees

Three other directors who served during 2025 recorded no directors' fees in Access Bank Botswana's remuneration table: Oluseyi Kolawole Kumapayi, Robert Michael Yorwerth Giles and Sheperd Aisam, while Finance Director Ratang Icho-Molebatsi was also recorded without a separate board-fee payment.

Kumapayi is a non-executive director with an extensive finance and management education background. He holds an Executive MBA in International Management, a BCom Honours in Accounting and Finance, and is a fellow of both the Institute of Chartered Accountants of England and Wales and the Botswana Institute of Chartered Accountants. He served on the Governance, Nomination and Remuneration Committee and the Digital and Information Technology Committee.

Giles, appointed in November 2021, holds an MSc in Strategic Management, an Executive MBA from the University of Cape Town and a BBA from the University of Botswana. He also completed training in strategic client relationship management and board oversight.

Sheperd Aisam is the bank's Managing Director and Executive Director. He holds an Executive MBA from IMD, an Executive Master's in Digital Transformation and Innovation Leadership from IE School of Human Sciences and Technology in Madrid, and master's and bachelor's degrees in engineering. He also completed the General Management Programme at Harvard Business School.

Ratang Icho-Molebatsi is the bank's Finance Director and Executive Director. She holds an MSc in Strategic Management, is an ACCA-qualified accountant and has a BA in Economics and Accounting from the University of Botswana.

The absence of a separate board-fee figure for these four directors does not necessarily mean they received no remuneration from the bank. The report separately discloses key management compensation of P34 million, covering salaries and other short-term benefits and post-employment benefits.
